Synths is a regulated financial platform that enables accredited investors resident in Ontario to buy and sell synthetic valuation-tracking units in privately held companies. Synths provides exposure to private-market valuations without requiring direct cap table participation, board approval, or minimum investment thresholds typical of traditional private equity and venture vehicles.
A Synthetic Unit is a financial instrument that trades on the Platform at a Market Price determined by supply and demand between Users. Each Synthetic Unit references a Private Company, and its Reference Price is derived from publicly available valuation data for that company. Synthetic Units are not shares, equity, or any ownership interest in the referenced company and carry no voting rights, dividends, or claims against the referenced company.
The Platform is available exclusively to accredited investors resident in the Province of Ontario, Canada, as defined under National Instrument 45-106. Eligibility generally requires net personal income exceeding $200,000 in each of the two most recently completed calendar years (or $300,000 combined with a spouse), or net financial assets exceeding $1,000,000. Users must complete identity verification and an Accredited Investor Attestation prior to accessing any trading feature.
During the early access period, prospective Users may register their interest through the waitlist at getsynths.com. Waitlist participants will be invited to the closed beta in prioritized batches based on registration date and participation intent.
To open an account, you will be required to provide: (a) government-issued photo identification; (b) proof of current Ontario residential address (dated within 90 days); and (c) documentation substantiating your accredited investor status under NI 45-106.
The majority of verifications are completed within one to two business days of submission of complete documentation. You will receive an email notification upon approval or if additional information is required.
No. Each individual User may maintain only one account on the Platform. Operating multiple accounts is a violation of the Terms of Service and may result in account suspension.
Deposits may be made via Interac e-Transfer, wire transfer, or cryptocurrency wallet. Cryptocurrency deposits are converted to CAD at the prevailing exchange rate at the time of processing and held in the Trust Account in Canadian dollars. All deposited funds are held in a dedicated trust account at a Canadian Schedule I bank, fully segregated from Synths' operating capital. Synths does not charge deposit fees.
Withdrawal requests are submitted through your account dashboard. Funds are returned to your originating account via Interac e-Transfer within two business days of the withdrawal request, subject to any applicable compliance review. Synths does not charge withdrawal fees.
No. Funds held on the Synths Platform are not deposits as defined under the Canada Deposit Insurance Corporation Act and are not eligible for CDIC deposit insurance or any equivalent government-backed protection. The trust account structure provides segregation of User funds from Synths' operating capital but does not guarantee recovery in the event of Synths' insolvency.
An Initial Synthetic Offering (ISO) is the mechanism by which Synths introduces a new Synthetic Unit to the Platform. During the ISO period, the market establishes an opening Market Price through an initial order submission and matching process. Participation in an ISO does not guarantee execution at any particular price.
The Reference Price is Synths' publicly derived estimate of a Private Company valuation, calculated from publicly available data including funding rounds, secondary transactions, and third-party appraisals. The Market Price is the price at which a Synthetic Unit actually trades on the Platform, determined by supply and demand between Users. The two prices are related but will differ, and may at times diverge materially.
The Platform currently supports two order types: (a) Market Orders, which are executed immediately at the best available Market Price; and (b) Limit Orders, which are executed only at the User-specified price or better.
No. The Platform does not support short selling. You may only sell Synthetic Units that you currently hold in your account.
Upon public announcement of an acquisition or IPO of a referenced Private Company, the associated Synthetic Unit will be subject to delisting procedures. All open positions will be settled at the final Reference Price, derived from the announced acquisition price or IPO price. Settlement proceeds will be credited to User accounts.
Synths employs LULD-style circuit breakers that automatically halt trading in a Synthetic Unit when the Market Price moves beyond defined thresholds within a defined time window. During a trading halt, you may not be able to open, close, or modify positions.
Account statements showing your trading history, realized gains and losses, deposits, and withdrawals are available for download from your account dashboard at any time in PDF and CSV format. A consolidated annual statement is generated in January of each year and delivered to your registered email address.
Based on current guidance, gains realized from trading Synthetic Units are generally expected to be characterized as capital gains for Canadian resident individuals. Synths does not provide tax advice. You are solely responsible for determining and satisfying your tax obligations and are encouraged to consult a qualified Canadian tax professional.

In the event of a Platform outage, Synths will endeavour to post a status update through available communication channels as soon as practicable. Open orders will not be executed during an outage.
