Accredited Investor Attestation
Version 1.0, Effective Date: June 26, 2026
IMPORTANT: Access to the Synths Platform is restricted to Accredited Investors as defined under National Instrument 45-106. By completing this Attestation, you are making legally significant representations upon which Synths is entitled to rely. Providing false or misleading information in this Attestation may constitute a violation of Ontario securities law and may expose you to regulatory sanction and civil liability.
Article 1 – Representations and Warranties

By checking the acknowledgment box on the Synths registration form, you represent, warrant, and covenant to Synths as follows:

1.1 Residency. You are, and at the time of each trade on the Platform will be, a resident of the Province of Ontario, Canada.

1.2 Accredited Investor Status. You qualify as an Accredited Investor under NI 45-106. Without limiting the generality of the foregoing, you satisfy at least one of the following criteria:

(a) your net income before taxes exceeded $200,000 in each of the two most recently completed calendar years, and you reasonably expect your net income before taxes to exceed $200,000 in the current calendar year;
(b) your net income before taxes combined with that of a spouse exceeded $300,000 in each of the two most recently completed calendar years, and you reasonably expect your combined net income before taxes to exceed $300,000 in the current calendar year;
(c) you own, either alone or with a spouse, financial assets having an aggregate realizable value that, before taxes but net of any related liabilities, exceeds $1,000,000; or
(d) you satisfy another category of Accredited Investor as defined in NI 45-106 and you have identified the applicable category in your account registration.

1.3 Review of Risk Disclosure. You have read and understood the Synths Risk Disclosure Statement in its entirety. You acknowledge that trading Synthetic Units involves material risk, including the potential loss of your entire invested capital.

1.4 Understanding of Instrument. You understand that Synthetic Units are not equity, shares, debt instruments, or any ownership interest in any referenced Private Company; that they do not carry voting rights, dividends, or any claim against the referenced company; and that they are not covered by CDIC deposit insurance.

1.5 Own Account. You are subscribing to and will trade on the Platform for your own account only, and not as agent, trustee, or nominee for any other person or entity.

1.6 Reliance. You acknowledge that Synths is relying on the truth and accuracy of the representations and warranties set out in this Attestation in granting you access to the Platform.

1.7 Continuing Obligation. You undertake to notify Synths promptly, and in any event within five business days, if any of the representations set out in this Attestation become inaccurate.

1.8 Legal Capacity. You are of the age of majority in the Province of Ontario, have full legal capacity to enter into binding agreements, and are not subject to any legal disability or restriction.

1.9 Lawful Funds. All funds you deposit on the Platform are derived from lawful sources and do not represent the proceeds of unlawful activity.

Article 2 – Consequences of False Attestation

2.1 Any misrepresentation made in this Attestation is a serious matter. Under the Securities Act, R.S.O. 1990, c. S.5, making a misrepresentation in connection with an exemption from prospectus requirements may constitute a violation of Ontario securities law. Potential consequences include: (a) regulatory investigation and sanction by the Ontario Securities Commission; (b) civil liability to Synths for losses arising from reliance on the misrepresentation; (c) immediate suspension or permanent termination of your Platform account; and (d) referral to law enforcement authorities where the conduct may constitute a criminal offence.

Article 3 – Acknowledgment

3.1 By checking the acknowledgment box on the registration form and submitting this Attestation, you confirm that: (a) all of the representations and warranties set out in Article 1 are true, accurate, and complete as of the date of submission; (b) you have read and understood the entire Attestation and have had the opportunity to seek independent legal advice; and (c) you consent to Synths collecting, using, and disclosing your personal information in accordance with the Synths Privacy Policy for the purpose of verifying your eligibility and administering your account.
